End User License Agreement

This EULA applies to individual end-users (dashboard, mobile app, browser extension, pre-commit hook, VS Code extension). For the contractual relationship with the customer organisation, see the Master Services Agreement at /legal/msa.

By accessing the platform, the end-user accepts the terms below.

1. License Grant

NoDowntimeShield ("we", "us") grants you, the end-user, a personal, non-exclusive, non-transferable, revocable license to use the platform components (dashboard, mobile app, browser extension, CLI tools) for the term that your organisation maintains an active subscription, and solely for security operations purposes.

2. Restrictions

You may not:

• Reverse-engineer, decompile, or disassemble the platform code, except to the extent expressly permitted by applicable law.
• Use the platform to scan, probe, or attack systems you do not own or have explicit written authorisation to test.
• Resell, sublicense, or redistribute the platform without our written consent.
• Use the platform to develop a competing product.
• Bypass, disable, or interfere with security or rate-limiting features (e.g. our 3-scans-per-hour public-grader cap).

3. Acceptable Use

The platform is for defensive security only. Refer to /legal/acceptable-use for the prohibited-use list. Violation may result in immediate suspension without refund.

4. Updates

We may release updates to the platform automatically (web, mobile push) or via your IT team's update channel (browser extension, VS Code extension, agents). Updates are part of the licensed Services and the same terms apply.

5. User Data and Privacy

How we handle your personal data is described in /legal/privacy. The contractual privacy commitments to your organisation are in the DPA at /legal/dpa.

6. Account Security

• Keep your credentials confidential. Use the passkeys feature where available; otherwise enable 2FA.
• Notify us immediately on suspicion of compromise. Use the responsible-disclosure form at /legal/responsible-disclosure.
• We may suspend an account that shows abuse signals (mass scanning, brute-force login attempts).

7. Third-Party Services

The platform integrates with third-party services (GitHub, Slack, Teams, Jira, etc.). You are responsible for complying with each provider's terms when granting access.

8. Termination

Your license terminates automatically when:

• Your organisation's subscription ends or is suspended.
• Your organisation revokes your access.
• You materially breach this EULA.

On termination, you must stop using the platform. Locally cached data (e.g. in the browser extension or VS Code extension) is automatically purged on next launch when the underlying credentials no longer authenticate.

9. Open Source Components

The platform incorporates open-source software. The full list and the corresponding licenses are available on request from [email protected]. Nothing in this EULA limits any rights you have under those licenses.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL DETECT ALL VULNERABILITIES OR THAT IT WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

OUR LIABILITY TO YOU PERSONALLY UNDER THIS EULA IS LIMITED TO THE GREATER OF (a) US$100, OR (b) THE FEES YOUR ORGANISATION PAID FOR YOUR INDIVIDUAL SEAT IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Governing Law

This EULA is governed by [JURISDICTION] law. Consumer rights under your local law are not affected.

13. Changes

We may update this EULA. We will notify you via email or in-app banner at least 30 days before the changes take effect. Continued use after the effective date constitutes acceptance.
